Frequently Asked Questions

At the CMS Annual General Meeting (AGM) during the CMS Summer meeting in Saint John, NB, on Saturday, June 6, CMS members approved the By-law amendments and the Transition Plan that activate this new structure.

The new structure will be implemented effective January 1, 2027. The transition will last for several years, as all current Executive and Board terms will continue to apply to the new Board and Council until they expire.

The CMS Board of Directors has been considering these changes for the past year.  We have hired a Governance Consultant, Mongeon Consulting, who has significant experience in helping organizations develop efficient governance structures that meet national standards for not-for-profit organizations like ourselves.  The Governance Committee, composed of Tim Alderson (VP Atlantic), Kseniya Garaschuk (Director, Ontario) and David Oakden (Treasurer), together with our Executive Director, Termeh Kousha, have been working closely with Mongeon Consulting to arrive at a model (and all the supporting by-laws and charters) that meets our needs.

Your engagement and interest are valuable!  While the By-Law amendments here are the ones that were voted on at the AGM in Saint John, rest assured that any necessary changes and improvements will be considered and can be made next year.  The transition year will be busy, with new training for members of our Executive Board and Council, and a steep learning curve for everyone participating in the governance of the CMS.  We will continue to work with Mongeon Consulting in 2026, and your feedback (via the form below) can help inform a smoother transition.

The key difference is the splitting of the current (large) board into two smaller bodies: an Executive Board, tasked with the legal and financial oversight of the CMS; and a Council, tasked with the oversight of the programs and mission of the CMS.  (This is similar to the structure of the AMS, for example.)  There will also be some corresponding changes to committees focused on internal operations (such as Governance, Human Resources, Financial and Audit, Nominating).  The many committees that carry out the work of the CMS will not change.
